Client Responsibilities
When BrightPoint accepts an engagement, you are responsible for providing complete, accurate, current, timely, and truthful information.
Requested information may include identification documents, income statements, expense records, prior tax returns, business records, ownership information, bookkeeping files, notices from taxing authorities, filing history, dependent information, household information, payment records, and other documents reasonably necessary to complete the requested work.
You are responsible for reviewing completed documents and filings, asking questions about anything you do not understand, confirming that personal and business information is correct, and notifying BrightPoint promptly of missing information, errors, inconsistencies, or changed circumstances.
You remain responsible for the accuracy and completeness of information submitted under your name, even when BrightPoint assists with preparing a return, filing, form, application, or document.
Deadlines and Extensions
BrightPoint will make reasonable efforts to complete accepted work by applicable deadlines when requested information, approvals, signatures, and payments are provided promptly.
BrightPoint is not responsible for missed deadlines, penalties, interest, rejected filings, delayed refunds, lost opportunities, or other consequences caused by late or incomplete documents, inaccurate information, failure to respond, delayed approvals, missing signatures, unpaid fees, third-party platform failures, government processing delays, severe weather, emergencies, or events outside our reasonable control.
A tax extension generally extends the time available to file a return, but it does not necessarily extend the time available to pay taxes due. Clients remain responsible for making required payments and estimated payments by applicable deadlines.
Fees and Payment
Fees may vary based on the type of service, complexity of the work, number of forms or entities involved, condition of the records, amount of research required, time needed, filing jurisdictions, urgency, and additional services requested.
Pricing discussed during an initial conversation may be an estimate unless BrightPoint expressly confirms a fixed price in writing.
BrightPoint may require an upfront payment, deposit, recurring payment, payment before filing, payment before delivery, or payment before additional work begins.
Government filing fees, third-party software costs, payment-processing charges, postage, courier expenses, notary fees, translation fees, expedited-service charges, and other outside costs may be billed separately.
Except where required by law or specifically stated in a written agreement, fees for completed work, time already spent, filings already submitted, and services already delivered are generally nonrefundable.
Changes in Scope
The scope and price of an engagement may change when additional forms or entities are identified, records require cleanup or reconstruction, prior-year problems are discovered, information is missing or inconsistent, additional jurisdictions are involved, government correspondence requires further work, deadlines change, or the client requests services that were not included in the original engagement.
BrightPoint may pause work and provide revised pricing, deadlines, or engagement terms before continuing.
Electronic Communications and Signatures
By using the website or engaging BrightPoint, you consent to receiving communications electronically through email, text message, website forms, scheduling platforms, client portals, electronic-signature systems, and other digital communication tools.
Electronic communications may be delayed, intercepted, misdirected, corrupted, or accessed by unauthorized parties. Do not send Social Security numbers, taxpayer identification numbers, complete tax returns, banking information, passwords, government-issued identification, or other highly sensitive information through ordinary email, text message, or website chat unless BrightPoint specifically directs you to use that method.
Sensitive documents should be submitted through the secure portal or approved delivery method designated by BrightPoint whenever one is available.
Electronic signatures may be used for agreements, disclosures, authorizations, approvals, and other records to the extent permitted by applicable law.
Text Messages
When you separately provide consent, BrightPoint may send service-related or marketing text messages.

BrightPoint may prepare or assist with tax returns, applications, forms, registrations, and other filings based on information supplied by the client and the laws, regulations, and guidance reasonably available at the time.
BrightPoint does not control IRS or state-agency processing, government acceptance or rejection, refund timing, audit selection, notice issuance, agency interpretation, processing delays, identity-verification requirements, legislative changes, or decisions made by banks, payment providers, licensing agencies, or other third parties.
No refund, deduction, tax credit, tax savings, financing approval, entity approval, licensing result, filing outcome, or government decision is guaranteed.
A government agency may later examine, adjust, reject, question, or audit a return, application, election, or other filing.
IRS and State Tax Notices
BrightPoint may help clients understand tax notices, identify requested information, organize supporting records, prepare responses, or determine possible next steps when those services are specifically accepted.
General statements on the website about tax-notice assistance do not automatically mean that BrightPoint has been retained or authorized to represent a client before the IRS, a state taxing authority, or another government agency.
Additional authorizations, agreements, documents, and fees may be required before BrightPoint can communicate with an agency or perform notice-related work.
Bookkeeping Services
Bookkeeping services rely on information provided by the client, financial institutions, software platforms, payment processors, employees, contractors, and other sources.
Unless specifically included in a written engagement, bookkeeping services do not constitute an audit, review, examination, attestation engagement, fraud investigation, verification of every transaction, legal-compliance review, internal-control assessment, or assurance regarding financial statements.
Clients remain responsible for business decisions, internal controls, approvals, source documents, account access, transaction accuracy, and the operation of their businesses.
BrightPoint may assist with initial setup or provide general guidance regarding systems used by a business, but ongoing payroll processing and payroll management are not included unless specifically agreed to in writing.
Business Formation and Filing Assistance
BrightPoint may provide administrative assistance with business filings such as LLC formations, corporate formations, employer identification number applications, fictitious business names, and related startup documents.
Business filing assistance does not constitute legal advice and does not guarantee name availability, entity approval, liability protection, tax treatment, licensing, regulatory compliance, financing, profitability, or business success.
Clients should consult a qualified attorney when they need legal advice regarding ownership, operating agreements, shareholder agreements, contracts, liability, governance, employment, intellectual property, succession planning, or disputes.
ITIN Applications
BrightPoint may assist with ITIN applications, renewals, supporting documentation, and related tax-filing requirements.
The IRS determines whether an application is approved, whether submitted documents are acceptable, and how long processing will take. BrightPoint cannot guarantee approval, acceptance, or processing time.
Clients are responsible for providing complete, current, accurate, and authentic identification and supporting documentation.
Notary, Translation, and Document Services
The scope of notary, translation, and document services depends on the service requested and applicable requirements.
BrightPoint does not guarantee that a document will be accepted by a court, agency, financial institution, educational institution, foreign authority, or other organization, that a notarized document is legally sufficient, that a translation will satisfy every governmental or legal requirement, or that a form is appropriate for a client’s intended legal purpose.
A notarization verifies matters permitted under applicable notarial law. It does not establish the truth, legality, accuracy, or enforceability of the underlying document.
Website Accounts and Login Information

This provision does not apply to the extent a claim results from conduct by BrightPoint for which indemnification cannot legally be required.
Termination of Access or Services

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Unless a separate written agreement provides otherwise, legal proceedings relating to these website Terms must be brought in a court with appropriate jurisdiction in Los Angeles County, California.
Informal Dispute Resolution
Before filing a lawsuit relating to these Terms, each party agrees to make a good-faith effort to resolve the dispute informally.

This provision does not prevent either party from seeking emergency, injunctive, or other immediate relief when appropriate.

No Waiver
BrightPoint’s failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
A waiver is effective only when it is made in writing by an authorized BrightPoint representative.
Entire Agreement for Website Use
These Terms, together with the BrightPoint Privacy Policy and any policies referenced in them, constitute the agreement governing general use of the website.
A separate engagement letter or service agreement will govern professional services. When these website Terms conflict with a signed agreement relating to professional work, the signed agreement will control for that engagement.
